The process takes on average 1 week for a SSN holder to get the company formed. For business owners without SSN it can take upto 8-10 weeks (we once got it done in 3 weeks)

Every State has its checklist—annual reports, different types of tax, ongoing compliance jazz. Sure, you could handle it solo, but skip those deadlines, and bam! Fines or risking your liability shield. Nothing to worry, we’ve got your back. We’ll take care of that pesky annual filing, yearly amendments, and all those state demands, keeping your company in the state’s good books, no sweat!

At our end, we’ve got your back on the compliance front. We take care of your annual filing hassle and even handle up to two changes in your filing documents every year—all you need to do is cover the state fees.

But it’s not just about handling the paperwork. We’re proactive. You’ll receive timely alerts for critical compliance deadlines, ensuring you’re always on track with the state’s requirements. We keep an eagle eye on your status with the state, making sure you maintain that good standing.

And here’s the cherry on top: in case a deadline slips or you miss a state requirement, worry not. We’ve got a detailed action plan ready to roll, and we’ll cover the costs needed to get you back on the compliance track. Your protection is our priority.

It’s totally feasible to serve as your own registered agent or nominate someone you trust—like a member of your LLC or a friend—given they meet these criteria:

  • Must be at least 18 years old
  • Should have a physical address within the state of business operations
  • Must be available during regular business hours for in-person contact

Another option? Hiring a professional registered agent service. Sure, it might cost more than DIY, but the perks outweigh the price tag. Opting for a registered agent service shields you from potential fees or legal hiccups caused by missing crucial documents or notices. Ultimately, this move can save you both time and money in the grand scheme of things.

If you own and/or run a small business, chances are your state requires you to have a registered agent—most do. But even if your state doesn’t, strongly consider getting one. A registered agent is a responsible third-party in the same state as the business, who canreceive service of process notices, correspondence from the Secretary of State, and other official government notifications—usually tax forms and notice of lawsuits—on behalf of the corporation or LLC.

If you’re a small business owner or manager, it’s likely that your state mandates having a registered agent – it’s a common requirement. Even if it’s not explicitly required, it’s strongly advisable to have one. This agent acts as a responsible intermediary, based in the same state as your business, handling official notifications like service of process notices, correspondences from the Secretary of State, and other governmental documents, such as tax forms or legal notices, on behalf of your corporation or LLC.

In cases where your business lacks a physical presence in the registered state, most states necessitate the appointment of a registered agent to accept documents on your behalf. States expect a designated contact person available during business hours, making PO boxes an unacceptable address for registered agents.

An Annual report is a filing that details a company’s activities throughout the prior year. Annual reports are intended to give state governing authorities information regarding the names and addresses of directors or managing members of a corporation or LLC as well as the company and registered agent address. In some state the annual report is filed at a pre determined date for all entities regardless of the date of formation while other states require that the annual report is filed on the anniversary date of formation.

Please note that some states require both an Annual Report to be filed and a Franchise Tax Fee to be paid.

In some states, the annual report is filed on a predetermined date for all entities regardless of the date of formation. Other states require the annual report is filed on the anniversary date of formation. The due dates for corporate annual reports do vary from state to state, so find your filing date from your state’s website and put it in your calendar. If you’re one of our Essential or Comprehensive Support plan members, we automatically take care of the annual filings for your company.

What happens if I don’t file my annual report?

  • The consequences of not filing an annual report can be severe. Some states may levy late fees, penalties and taxes. Other states could even involuntarily dissolve your corporation. The filing time is dependent on the governing state agency. Filing times vary by state it is therefore important that the report is filed well in advance of the due date in order to avoid any potential late filing fees.

The duration to finalize your company formation differs depending on the state. Wyoming, commonly used for LLCs, typically takes approximately 3 weeks to complete the filing process for your company, EIN, and bank account. Delaware, often chosen for corporations, usually requires a bit more time, averaging around 1-2 months to complete the filing for your company, EIN, and bank account with the state.

Citizens from Cuba, Iran, North Korea, and Syria are currently unable to establish a legal company in the United States. We’ll regularly update this list as circumstances evolve, so please revisit for any changes.

Certainly! US LLCs and C Corporations boast a highly flexible structure, perfect for global enterprises, startups, independent contractors, agencies, and individuals with a nomadic digital lifestyle.
